You acknowledge and agree that codemaxxing.ai shall not be responsible or liable, directly or indirectly, for any damage or loss caused by or in connection with use of any third-party content, goods, or services.

User-submitted Content

User-submitted content includes all data submitted to our services by a user. We do not claim any ownership of your content. By submitting content to our services, you are granting an infinite, non-exclusive, worldwide, royalty-free license for us to store, distribute, copy or reproduce, edit, translate, reformat, publicly display, or perform the submitted content, at our discretion.

All user-submitted content is provided for personal use. You are not entitled to redistribute, repackage, sell, or otherwise distribute content without express permission from the associated content owner(s), and/or other invested parties, when applicable.

User Contributions must in their entirety comply with all applicable federal, state, local, and international laws and regulations. Without limiting the foregoing, User Contributions must not:

• Contain any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable.

• Promote any illegal activity, or advocate, promote, or assist any unlawful act.

• Cause annoyance, inconvenience, or needless anxiety or be likely to upset, embarrass, alarm, or annoy any other person.

• Impersonate any person, or misrepresent your identity or affiliation with any person or organization.

• Involve commercial activities or sales, such as contests, sweepstakes, and other sales promotions, barter, or advertising.

• Give the impression that they emanate from or are endorsed by us or any other person or entity, if this is not the case.

• Intentionally damage, disable, overburden, or impair the Services.

Additionally, you understand that we reserve the right to remove any content with or without reason at our discretion.

Given the volume of user-submitted content on our services, we rely on community reports and reactive moderation when it comes to upholding our various rules and guidelines. The mere existence of a file violating our rules on our services does not imply our approval of, or indifference to said file. As such, user-submitted content which is found to be in violation of our standards is not excusable based on the existence of other, similar submissions.

• To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity (including, without limitation, by using email addresses associated with any of the foregoing).

• To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Website, or which, as determined by us, may harm the Company or users of the Website, or expose them to liability.

Additionally, you agree not to:

• Use the Website in any manner that could disable, overburden, damage, or impair the site or interfere with any other party’s use of the Website, including their ability to engage in real time activities through the Website.

• Except for the reasonable and intended use of any API the Company furnishes to the public, use any robot, spider, or other automatic device, process, or means to access the Website, including monitoring or copying any of the material on the Website.

• Use any manual process to monitor or copy any of the material on the Website, or for any other purpose not expressly authorized in these Terms of Use, without our prior written consent.

• Use any device, software, or routine that interferes with the proper working of the Website.

• Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.

• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Website, the server on which the Website is stored, or any server, computer, or database connected to the Website.

• Attack the Website via a denial-of-service attack or a distributed denial-of-service attack.

• Otherwise attempt to interfere with the proper working of the Website.

Limitations

Automated queries (including screen and database scraping, spiders, robots, crawlers and any other automated activity with the purpose of obtaining information from the Service) are strictly prohibited on the Service, unless you have received express written permission from us. As a limited exception, publicly available search engines and similar Internet navigation tools (“Search Engines”) may query the Services and provide an index with links to the Service’s Web pages, only to the extent such unlicensed “fair use” is allowed by applicable copyright law. Search Engines are not permitted to query or search information protected by a security verification system (“captcha”) which limits access to human users.

Termination

We may terminate or suspend access to our Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

Account deletion

If you delete your account:

• You can’t regain access to your account.

• It may take up to 90 days from the beginning of the deletion process to delete your information. Copies of your information may also remain after the 90 days in the backup storage that we use to recover in the event of a disaster, software error, or other data loss event. Your information isn’t available to you during this time.

• It doesn’t affect the information other users have relating to you, such as their copy of the messages you sent them.

• We may retain certain log data in our databases even after you delete your account, but such data will be disassociated from any identifying information such that it can no longer be linked to your account. To do this, on a regular basis, we wipe certain identifying information from this log data, and we replace any instance of your account ID with a replacement identifier which cannot be linked back to your account once it is deleted.

• We may also keep your information for things like legal issues, terms violations, or harm prevention efforts.

Trademarks

The Company name, the Website logo and all related names, logos, product and service names, designs, and slogans are trademarks of the Company or its affiliates or licensors. You must not use such marks without the prior written permission of the Company. All other names, logos, product and service names, designs, and slogans on this Website are the trademarks of their respective owners.

Modification of these Terms

We reserve the right to change these Terms on a going-forward basis at any time. Please check these Terms periodically for changes. Modifications will become effective upon the earlier of (a) your acceptance of the modified Terms, (b) your use of the Service with actual knowledge of the modified Terms, or (c) thirty (30) days following our publication of the modified Terms through the Service. Disputes arising under these Terms will be resolved in accordance with the version of these Terms that was in effect at the time the dispute arose.

Indemnification

You agree to indemnify, defend, and hold harmless codemaxxing.ai, its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against all losses, expenses, damages, liabilities, claims, demands, and costs, including reasonable attorneys’ fees, resulting from:

• Your violation of these Terms
• Your use of the Service
• Any content you submit, post, or transmit through the Service
• Your violation of any rights of another party
• Your violation of any applicable laws, rules, or regulations

This indemnification obligation will survive the termination or expiration of these Terms and your use of the Service.

Disclaimers; No Warranties

THE SERVICE AND ALL MATERIALS AND CONTENT AVAILABLE THROUGH THE SERVICE ARE PROVIDED “AS IS” AND ON AN “AS AVAILABLE” BASIS. WE DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, RELATING TO THE SERVICE AND ALL MATERIALS AND CONTENT AVAILABLE THROUGH THE SERVICE, INCLUDING: (A) ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, OR NON-INFRINGEMENT; AND (B) ANY WARRANTY ARISING OUT OF COURSE OF DEALING, USAGE, OR TRADE. WE DO NOT WARRANT THAT THE SERVICE OR ANY PORTION OF THE SERVICE, OR ANY MATERIALS OR CONTENT OFFERED THROUGH THE SERVICE, WILL BE UNINTERRUPTED, SECURE, OR FREE OF ERRORS, VIRUSES, OR OTHER HARMFUL COMPONENTS, AND WE DO NOT WARRANT THAT ANY OF THOSE ISSUES WILL BE CORRECTED.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM THE SERVICE ANY MATERIALS OR CONTENT AVAILABLE THROUGH THE SERVICE WILL CREATE ANY WARRANTY REGARDING THE SERVICE THAT IS NOT EXPRESSLY STATED IN THESE TERMS. WE ARE NOT RESPONSIBLE FOR ANY DAMAGE THAT MAY RESULT FROM THE SERVICE AND YOUR DEALING WITH ANY OTHER SERVICE USER. YOU UNDERSTAND AND AGREE THAT YOU USE ANY PORTION OF THE SERVICE AT YOUR OWN DISCRETION AND RISK, AND THAT WE ARE NOT RESPONSIBLE FOR ANY DAMAGE TO YOUR PROPERTY (INCLUDING YOUR COMPUTER SYSTEM OR MOBILE DEVICE USED IN CONNECTION WITH THE SERVICE) OR ANY LOSS OF DATA, INCLUDING USER CONTENT.

The limitation of liability set out above does not apply to liability resulting from our gross negligence or willful misconduct.

THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
